1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your access to and use of the PixPunch application, website, and related services (collectively, the "Service") operated by PixPunch, a company registered in India ("PixPunch", "we", "us", or "our").

By accessing or using the Service at https://app.pixpunch.com/ or any associated mobile application, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

These Terms should be read together with our Privacy Policy and Cookie Policy, which form part of your agreement with us.

2. Description of Service

PixPunch is an AI-powered photography coaching platform that helps users improve their smartphone photography skills. The Service may include, but is not limited to:

• AI analysis of photographs uploaded by users
• Real-time camera guidance and composition feedback ("Live Coach")
• Personalised photography tips, lessons, and improvement recommendations
• Progress tracking and skill assessments
• Human review and editing services provided by our team
• Community features and sharing tools

The Service is provided on a subscription or freemium basis as described in Section 5 below.

3. Eligibility

You must be at least 18 years of age to create an account and use the Service on your own behalf.

If you are under 18 years of age, you may only use the Service with the verifiable consent of a parent or lawful guardian, who must create or supervise your account and agree to these Terms on your behalf. This aligns with the definition of a "child" under India's Digital Personal Data Protection (DPDP) Act, 2023, as described in our Privacy Policy.

By using the Service, you represent and warrant that you meet these eligibility requirements, or that you are a parent/guardian who has provided the required consent on behalf of a minor using the Service.

If we become aware that a child under 18 is using the Service without the requisite parental or guardian consent, we will take reasonable steps to suspend the account and delete associated personal data, consistent with our Privacy Policy.

4. Account Registration

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password confidential and not share it with any third party
• Notify us immediately of any unauthorised use of your account at support@pixpunch.com
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that contain false information or that are used in violation of these Terms.

5. Subscription Plans and Payment

5.1 Free Tier

PixPunch may offer limited features at no charge, subject to usage caps and restrictions that we may modify from time to time.

5.2 Paid Subscriptions

Premium features are available through paid subscription plans. Current pricing and plan details are displayed within the Service. By subscribing, you authorise us (or our payment processor) to charge your selected payment method on a recurring basis at the frequency stated at the time of purchase.

5.3 Billing and Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You are responsible for cancelling your subscription in advance if you do not wish to be charged for the next billing period. You can cancel at any time through your account settings or by contacting support@pixpunch.com.

5.4 Refunds and Cancellation

All fees are non-refundable except where required by applicable law or expressly stated otherwise. If you believe you have been charged in error, please contact us at support@pixpunch.com within 14 days of the charge. Nothing in this Section limits any statutory right you may have as a consumer under applicable Indian consumer protection law, including the Consumer Protection (E-Commerce) Rules, 2020, where those Rules apply to your purchase.

5.5 Price Changes

We reserve the right to modify subscription prices. We will provide reasonable advance notice of any price changes, and your continued use of the Service after the effective date constitutes acceptance of the new pricing.

5.6 Credits

Where the Service allows you to purchase credits for use within the Service, all credit purchases are final and non-refundable, regardless of whether the credits have been used, except where a refund is required by applicable law. Credits have no cash value, cannot be exchanged for cash, are non-transferable between accounts, and expire or otherwise become unusable in accordance with the terms displayed at the time of purchase (if any). This Section 5.6 does not override any statutory right you may have as a consumer under applicable Indian consumer protection law, as noted in Section 5.4.

6. User Content

6.1 Your Content

You retain ownership of all photographs, images, and other content you upload, capture, or submit through the Service ("User Content").

6.2 Licence to PixPunch

By submitting User Content, you grant PixPunch a non-exclusive, worldwide, royalty-free, sublicensable licence to use, store, process, analyse, and display your User Content solely for the purpose of providing and improving the Service (including, where you have given separate consent, to improve our AI models, as described in our Privacy Policy). This licence does not permit PixPunch to sell your User Content to third parties or use it for advertising without your explicit consent.

This licence terminates when you delete the relevant User Content or close your account, except that we may retain and continue to use:

• Copies made for routine backup purposes, which will be deleted in the ordinary course in line with our data retention practices, and
• Anonymised or aggregated data that no longer identifies you, where you have separately consented to its use for AI model improvement.

6.3 Your Representations

You represent and warrant that:

• You own or have the necessary rights to submit your User Content
• Your User Content does not infringe any third-party intellectual property, privacy, or other rights
• Your User Content complies with these Terms and all applicable laws
• You have obtained any required consents from individuals identifiable in your photographs

6.4 Prohibited Content

You must not host, display, upload, modify, publish, transmit, store, update, or share any content that:

• Belongs to another person and to which you do not have any right
• Is defamatory, obscene, pornographic, paedophilic, invasive of another's privacy (including bodily privacy), insulting or harassing on the basis of gender, libellous, racially or ethnically objectionable, or otherwise unlawful
• Depicts minors in an inappropriate or sexualised manner, or facilitates the sexual exploitation of minors in any way
• Is harmful to a child
• Infringes any patent, trademark, copyright, or other proprietary rights
• Violates any applicable Indian law, including laws relating to encryption, or threatens the unity, integrity, defence, security, or sovereignty of India, friendly relations with foreign states, or public order
• Deceives or misleads the addressee about the origin of the message, or communicates any information which is patently false or misleading, but is presented as fact
• Impersonates another person
• Contains software viruses, malware, or any other computer code designed to interrupt, destroy, or limit the functionality of any computer resource
• Threatens public health or safety, or promotes cigarettes, tobacco products, alcohol, drugs, or narcotic substances in a manner prohibited by law

We reserve the right to remove or disable access to any User Content that violates these Terms, with or without prior notice, and to take appropriate action including suspension or termination of the account of the person responsible.

7. Intellectual Property

All rights, title, and interest in the Service – including software, algorithms, design, text, graphics, logos, and AI models – are owned by or licensed to PixPunch and are protected by applicable intellectual property laws. Nothing in these Terms transfers any such ownership to you. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal, non-commercial purposes in accordance with these Terms.

You must not copy, reproduce, distribute, modify, create derivative works from, publicly display, or exploit any part of the Service without our prior written consent.

8. AI-Generated Feedback Disclaimer

The coaching feedback, recommendations, and analysis provided by PixPunch are generated by artificial intelligence and are intended for educational and informational purposes only. AI outputs:

• May not always be accurate, complete, or suited to your specific circumstances
• Do not constitute professional photographic, artistic, or technical advice
• Should be evaluated using your own judgement

Where the Service includes human review, editing, or feedback provided by our team, that human input reflects the individual reviewer's professional opinion and is likewise intended for informational purposes, and does not constitute a warranty as to a specific outcome.

PixPunch makes no warranty regarding the accuracy or quality of AI-generated or human-provided feedback.

9. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorised access to the Service, servers, or networks
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools (bots, scrapers, crawlers) to access or extract data from the Service
• Interfere with or disrupt the integrity or performance of the Service
• Impersonate any person or entity
• Harass, abuse, or harm other users
• Upload content that infringes third-party intellectual property rights

10. Third-Party Services

The Service may integrate with or link to third-party services (e.g., app stores, payment processors, cloud providers). Your use of such third-party services is governed by their own terms and privacy policies. PixPunch is not responsible for the content, practices, or availability of third-party services.

11. Termination

11.1 By You

You may terminate your account at any time by contacting us at support@pixpunch.com. Termination does not entitle you to a refund of any prepaid fees, except as set out in Section 5.4.

11.2 By PixPunch

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or if required by law. Upon termination, your licence to use the Service will immediately cease.

11.3 Effect of Termination

Provisions that by their nature should survive termination will survive, including Sections 6, 7, 8, 13, 14, and 15.

12. Force Majeure

We will not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from causes beyond our reasonable control, including natural disasters, acts of government, war, terrorism, labour disputes, internet or telecommunications failures, or failures of third-party service providers.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Nothing in this Section excludes or limits any warranty, right, or remedy that cannot lawfully be excluded or limited under applicable Indian consumer protection law.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PIXPUNCH AND ITS DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO PIXPUNCH IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR INR 1,000, WHICHEVER IS GREATER.

This limitation does not apply to liability that cannot be excluded or limited as a matter of applicable law, including liability arising from our own fraud, wilful misconduct, or gross negligence, or statutory consumer protections that cannot lawfully be waived.

15. Indemnification

You agree to indemnify, defend, and hold harmless PixPunch and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your User Content, or your violation of these Terms.

16. Assignment

You may not assign or transfer these Terms, or any of your rights or obligations under them, without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganisation, or sale of assets, provided the assignee agrees to be bound by these Terms.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms.

18. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Subject to any non-waivable rights you may have as a consumer to bring proceedings in a different forum under applicable Indian consumer protection law, any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Uttarakhand, India.

If you are located in the European Economic Area or the United Kingdom, nothing in this Section deprives you of any mandatory consumer protections available to you under the law of your place of habitual residence.

19. Severability and Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and PixPunch regarding the Service.

20. Grievance Officer / Contact

In accordance with the Information Technology Act, 2000 and the rules made thereunder, the name and contact details of our Grievance Officer are provided below:
